What is the best state to form your US LLC?
Generally, for online, ecommerce, and service businesses, we recommend Wyoming or Delaware.
We recommend Wyoming. Why? Because Wyoming is the most popular state for non-residents who have online businesses, e-commerce businesses, or entrepreneurs who want an easy and simple way to form and manage their companies. It’s the most popular state among our clients for these reasons: lower annual fees, privacy and anonmity of ownership, no corporate income tax, and strong asset and charging order protection. Wyoming is considered the "Switzerland" of the United States.
We recommend Delaware if you have plans to convert your LLC into a C Corp (to raise venture capital from U.S. investors) in the future, or if you are a LATAM founder who is ready to raise angel investment, a pre-Seed, or a Seed round, then we recommend adding a Delaware LLC as a parent company to your local operating company, later you can add a Cayman Island holding company when you will generally raise more than $300,000. Also, if you want the “prestige” of saying your company is from Delaware, then we can help you form it in Delaware.
